These Terms of Service ("Terms") govern your access to and use of the VigilDesk public website at vigildesk.ai (the "Site") and any informational content we make available through it. By visiting the Site, calling our demo line, or contacting us through the Site, you agree to these Terms.

If you sign up as a paying business customer, your use of the VigilDesk service will be governed by a separate written Service Agreement, which supersedes these Terms with respect to the service.

1. Who We Are

The Site is operated by VigilDesk LLC, a California limited liability company with its principal office at 1098 Foxhurst Way, San Jose, CA 95120 (EIN 42-2141174).

2. Use of the Site

You agree to use the Site only for lawful purposes. You will not:

• Attempt to gain unauthorized access to the Site or its underlying systems.
• Use automated tools to scrape, harvest, or systematically download content.
• Misrepresent your identity, your business, or your relationship with VigilDesk.
• Use the Site to harass, defame, or interfere with the rights of others.
• Use the Site in any way that violates applicable federal, state, or local law.

3. Demo Phone Line

The number listed on the Site, (844) 731-3674, is a live demonstration line operated by VigilDesk. Calls to this line are answered by an AI receptionist, may be recorded for quality and training purposes, and may receive an SMS confirmation if you opt in verbally during the call. Demonstration calls do not create a contract for service.

4. Informational Content

Pricing, features, screenshots, and example messages on the Site are provided for informational purposes only. We may change them at any time without notice. Specific commitments will be set out in your written Service Agreement, if any.

5. Intellectual Property

The Site, its content, branding, logos, and underlying software are the property of VigilDesk LLC or its licensors and are protected by US and international intellectual property laws. You may not copy, modify, distribute, or create derivative works of any Site content without our prior written permission.

6. Third-Party Links

The Site may contain links to third-party websites or services. We do not control and are not responsible for the content, policies, or practices of any third party.

7. Disclaimers

The Site is provided "as is" and "as available", without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy. VigilDesk does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

8. Limitation of Liability

To the maximum extent permitted by law, VigilDesk LLC and its officers, members, employees, and contractors will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or in connection with your use of the Site.

Our total aggregate liability arising out of or in connection with these Terms or the Site will not exceed one hundred US dollars ($100).

9. Indemnification

You agree to indemnify and hold harmless VigilDesk LLC and its officers, members, employees, and contractors from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of your breach of these Terms or your misuse of the Site.

10. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Site will be resolved exclusively in the state or federal courts located in Santa Clara County, California, and you consent to the personal jurisdiction of those courts.

11. Changes

We may update these Terms from time to time. The effective date at the top of this page reflects the most recent revision. Continued use of the Site after a change constitutes acceptance of the revised Terms.
